By enabling API trading, you authorize Grouwd to transmit trade commands to your exchange account based on the provided trading signals.\u000D\u000A3.2 User Acknowledgment:\u000D\u000AYou acknowledge and agree that:\u000D\u000A\u002DGrouwd does not hold, control, or have direct access to your funds—all trades occur on third\u002Dparty exchanges under your control.\u000D\u000A\u002DGrouwd only executes trade signals based on preset strategies and does not provide personalized trading advice.\u000D\u000A\u002DYou retain full control over your exchange account and can modify, pause, or revoke API access at any time.\u000D\u000A3.3 Grouwd’s Limitations:\u000D\u000AGrouwd is not responsible for:\u000D\u000A\u002DFailed trade executions due to exchange outages, API limitations, or account restrictions.\u000D\u000A\u002DDelayed, misfired, or incorrect trade signals due to market volatility, exchange slippage, or technical errors.\u000D\u000A\u002DUnauthorized access to your exchange account due to compromised API keys, weak passwords, or security breaches outside Grouwd’s control.\u000D\u000A\u000D\u000A4. However, past performance does not guarantee future results.\u000D\u000A\u000D\u000A6.2 Market Risks:\u000D\u000AYou acknowledge that:\u000D\u000A\u002DTrading signals may be inaccurate, delayed, or outdated due to real\u002Dtime market conditions.\u000D\u000A\u002DMarket risks, including slippage, liquidity issues, and rapid price movements, may impact trade execution.\u000D\u000A\u002DGrouwd does not guarantee profits and is not responsible for financial losses incurred from using the Platform.\u000D\u000A\u000D\u000A7.PROHIBITED JURISDICTIONS \u0026 VPN USAGE\u000D\u000A7.1 Geographic Restrictions:\u000D\u000AGrouwd may restrict or prohibit access to the Platform in certain countries or regions due to legal, regulatory, or compliance reasons.\u000D\u000A 7.2 Prohibited Actions:\u000D\u000AYou are strictly prohibited from:\u000D\u000A\u002DUsing virtual private networks (VPNs), proxies, or any other methods to mask your location or circumvent geographic restrictions.\u000D\u000A\u002DProviding false or misleading information about your country of residence or location during account registration or use of the Platform.\u000D\u000A7.3 Consequences of Violations:\u000D\u000AIf Grouwd determines that you have accessed the Platform from a prohibited jurisdiction or used a VPN or falsified information to bypass restrictions, Grouwd reserves the right to:\u000D\u000A\u002DImmediately suspend or terminate your account without notice.\u000D\u000A\u002DForfeit any fees, subscriptions, or balances associated with your account.\u000D\u000A\u002DTake legal action, if necessary, to enforce compliance with these Terms.\u000D\u000A7.4 Legal and Tax Compliance:\u000D\u000A\u002DYou acknowledge and agree that Grouwd is not responsible for any legal, tax, or regulatory consequences you may face as a result of bypassing country restrictions.\u000D\u000A\u002DIf you access the Platform from a prohibited jurisdiction or falsify your location, you assume full responsibility for any violations of local laws, tax obligations, or regulatory requirements.\u000D\u000A\u002DGrouwd shall not be liable for any fines, penalties, or legal actions imposed on you by authorities in your jurisdiction or elsewhere.\u000D\u000A\u000D\u000A8. LIMITATION OF LIABILITY\u000D\u000A8.1 Scope of Liability:\u000D\u000ATo the fullest extent permitted by law, Grouwd, its affiliates, officers, directors, employees, contractors, and agents shall not be liable for:\u000D\u000A\u002DAny direct, indirect, incidental, consequential, punitive, or special damages arising from or related to your use of the Platform.\u000D\u000A\u002DAny loss of profits, investment capital, data, business opportunities, or reputation.\u000D\u000A\u002DAny inaccuracies, errors, or omissions in the content, trade alerts, or analyses provided on the Platform.\u000D\u000A\u002DAny unauthorized access to or use of your account, including security breaches.\u000D\u000A8.2 Sole Remedy:\u000D\u000AYour sole and exclusive remedy for dissatisfaction with the Platform is to discontinue its use.\u000D\u000A\u000D\u000A9.INDEMNIFICATION\u000D\u000AYou agree to indemnify, defend, and hold harmless Grouwd and its affiliates from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising out of:\u000D\u000A\u002DYour use or misuse of the Platform.\u000D\u000A\u002DYour violation of these Terms.\u000D\u000A\u002DYour reliance on any trade alerts, analyses, or content provided through the Platform.\u000D\u000A\u002DAny unauthorized access to your exchange account due to mismanaged API keys or security breaches.\u000D\u000A\u000D\u000A10. NO FEES ON PROFITS \u0026 TAX RESPONSIBILITIES\u000D\u000A10.1 Fees:\u000D\u000AGrouwd does not charge fees or commissions on profits earned by users through their trading activities. However, Grouwd may generate revenue through alternative means, including but not limited to platform subscriptions, partnerships, or advertising.\u000D\u000A10.2 Tax Responsibilities:\u000D\u000AYou are solely responsible for reporting and paying any applicable taxes, fees, or obligations arising from your trading activities, including capital gains taxes. Grouwd bears no responsibility for tax compliance or reporting on your behalf.\u000D\u000A\u000D\u000A11. COMPLIANCE WITH THIRD\u002DPARTY EXCHANGE TERMS\u000D\u000A11.1 Exchange Terms:\u000D\u000AThe Platform relies on integrations with third\u002Dparty exchanges for trade execution. You are responsible for complying with the terms, policies, and restrictions of any exchange you connect to.\u000D\u000A11.2 Exchange Risks:\u000D\u000AGrouwd has no control over exchange policies, trading fees, API rate limits, or account restrictions. You acknowledge that:\u000D\u000A\u002DYour exchange may suspend, restrict, or terminate API access at any time.\u000D\u000A\u002DYou are responsible for understanding and managing risks associated with exchange trading fees, margin requirements, and order execution.\u000D\u000A\u000D\u000A12. FORCE MAJEURE\u000D\u000AGrouwd shall not be held liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to:\u000D\u000A\u002DMarket disruptions, extreme price volatility, or liquidity shortages.\u000D\u000A\u002DExchange outages, API failures, or regulatory shutdowns.\u000D\u000A\u002DCyberattacks, security breaches, or technical malfunctions.\u000D\u000A\u000D\u000A13. MODIFICATIONS TO THE PLATFORM AND TERMS\u000D\u000A13.1 Platform Modifications:\u000D\u000AGrouwd reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time without prior notice.\u000D\u000A13.2 Terms Updates:\u000D\u000AGrouwd may update or revise these Terms at its sole discretion. The latest version will be posted on the Platform, and continued use constitutes acceptance of the updated Terms.
